1. Acceptance of Terms

By creating an account or using Neat Invoicing ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Neat Invoicing is a cloud-based invoice processing platform that uses AI to extract data from uploaded invoices, categorize expenses, and provide export functionality. The Service is provided "as is" and is continually being improved.

3. Accounts

  • You must provide accurate information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • One person or entity may not maintain more than two free accounts
  • You must be at least 18 years old to use the Service
  • We reserve the right to suspend or terminate accounts that violate these terms

4. Subscriptions & Billing

  • Free plan: Includes 3 invoices (one-time, lifetime limit). No credit card required.
  • Paid plans: Billed monthly via Stripe. You can upgrade, downgrade, or cancel at any time.
  • Cancellation takes effect at the end of the current billing period — you retain access until then.
  • Prices are subject to change with 30 days' notice to active subscribers.

5. Referral Program

  • Eligible users may participate in our referral program by sharing their unique referral link.
  • Commission: Referrers earn 20% of the referred user's monthly subscription fee for as long as the referred user maintains an active paid subscription.
  • Commissions are tracked automatically when a referred user subscribes to a paid plan via your referral link.
  • Commissions are credited as account balance. Contact support for withdrawal options.
  • Prohibited: Self-referrals, creating multiple accounts to generate referral commissions, using misleading or spammy tactics to promote referral links, or any form of referral fraud.
  • We reserve the right to modify commission rates, terms, or terminate the referral program at any time with 30 days' notice.
  • Commissions may be forfeited if the referred user requests a refund, cancels within 14 days, or if referral fraud is detected.
  • We may suspend or revoke referral privileges for abuse or violation of these terms.

6. Email Notifications

  • By using the Service, you consent to receiving transactional and service-related emails, including invoice processing confirmations, payment due reminders, and weekly digest summaries.
  • You may manage your notification preferences from your account settings. Certain critical notifications (e.g., security alerts, billing issues) cannot be disabled.
  • We will not send marketing emails without your explicit opt-in consent.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload malicious files, malware, or content that infringes on others' rights
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use automated tools to create multiple free accounts to circumvent usage limits
  • Reverse-engineer, scrape, or attempt to extract the source code of the Service
  • Resell or redistribute the Service without written permission

8. Your Data

  • You retain ownership of all invoices and data you upload to the Service
  • You grant us a limited license to process your data solely for the purpose of providing the Service (e.g., AI extraction, storage, export)
  • We do not use your invoice data for advertising or sell it to third parties
  • You can export or delete your data at any time

9. AI Accuracy Disclaimer

Neat Invoicing uses artificial intelligence to extract data from invoices. While we strive for high accuracy, AI-extracted data may contain errors. You are responsible for reviewing and verifying all extracted data before using it for accounting, tax filing, or any other purpose. We are not liable for errors in AI-processed data.

10. Service Availability

We aim for high uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

11. Limitation of Liability

To the maximum extent permitted by law, Neat Invoicing and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

12. Termination

  • You may close your account at any time by contacting support
  • We may suspend or terminate your access for violation of these terms
  • Upon termination, your data will be deleted within 30 days unless required by law

13. Changes to Terms

We may update these terms from time to time. We will notify registered users of material changes via email. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
